Terms of Use
These Terms govern this website. Paid services are governed by a separate signed Client Service Agreement, which controls if the two conflict.

1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of the IronBolt AI LLC website. By accessing or using this website, you agree to these Terms. If you do not agree, do not use the website.
Paid IronBolt services are governed by a separate signed Client Service Agreement, Order Form, or other executed agreement. If a signed agreement conflicts with these Terms regarding a paid service, the signed agreement controls.
2. Eligibility
This website is intended for business use by individuals who are at least 18 years old and have authority to act for the business they represent. It is not directed to children.
3. Changes to These Terms
We may update these Terms periodically. The date above shows the latest revision. Material changes affecting an existing paid-client relationship are handled as provided in the applicable signed agreement.
4. Website Use
IronBolt grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable right to use this website for legitimate informational and business-evaluation purposes. All rights not expressly granted are reserved.
5. Prohibited Conduct
- use the website for an unlawful, fraudulent, deceptive, abusive, discriminatory, or harassing purpose;
- attempt unauthorized access to the website, our systems, or any account;
- interfere with or disrupt the website;
- introduce malware or harmful code;
- scrape or systematically extract protected content except where permitted;
- reverse engineer proprietary technology except where applicable law prohibits such restrictions;
- attempt to derive source code, prompts, workflows, configurations, or automation logic;
- circumvent security protections;
- transmit unsolicited communications;
- misrepresent your identity or affiliation;
- remove proprietary notices; or
- use IronBolt technology or Confidential Information to develop or assist a competing service in violation of applicable contractual rights.
6. Accounts
This website does not currently offer public user accounts. If account functionality is introduced, account holders will be responsible for maintaining credential confidentiality and for activity occurring under their accounts.
7. Intellectual Property
The website and its contents, including its design, text, graphics, images, code, layout, and organization, are owned by IronBolt AI LLC or its licensors.
IronBolt also retains all rights in its software, prompts, workflows, automation logic, configurations, templates, architecture, integrations, documentation, proprietary processes, and general technology and improvements.
Purchasing an IronBolt service does not transfer ownership of IronBolt technology.
8. Trademarks
“IronBolt,” “IronBolt AI,” “IronBolt Premium,” and the IronBolt AI logo are marks used by IronBolt AI LLC. They may not be used without prior written permission in a manner likely to create confusion concerning affiliation, sponsorship, or endorsement.
9. User Content and Submissions
If you submit information through the website, you represent that you have the right to provide that information. You are responsible for the accuracy and lawfulness of information you submit. Do not submit another person's personal information without appropriate authority.
10. Feedback
If you voluntarily provide suggestions, ideas, enhancement requests, or feedback, IronBolt may use that feedback without restriction, compensation, or confidentiality obligation unless separately agreed in writing.
11. Third-Party Websites
Our website may contain links to third-party websites and services. We do not control those services and are not responsible for their independent content, practices, security, or availability.
12. Third-Party Services and Dependencies
IronBolt's website and services depend on third-party systems that may include telecommunications providers, artificial-intelligence providers, speech-processing providers, hosting providers, messaging services, CRM systems, scheduling systems, payment processors, security providers, email providers, and internet infrastructure.
IronBolt cannot guarantee the availability, performance, pricing, accuracy, or continued operation of systems controlled by independent third parties.
13. Website and Service Availability
IronBolt does not provide a guaranteed uptime percentage, response-time commitment, service credit, or service-level agreement unless expressly stated in a signed Client Service Agreement or Order Form.
Services may be interrupted by maintenance, updates, carrier failures, internet failures, cloud outages, third-party service failures, security incidents, or circumstances outside IronBolt's reasonable control.
14. Artificial Intelligence and Automated Output
IronBolt uses artificial intelligence and automated systems. AI systems may misunderstand speech, misclassify caller intent, generate inaccurate information, create inaccurate or incomplete transcripts, produce incomplete or inaccurate summaries, make scheduling or workflow errors, or otherwise produce unexpected output.
IronBolt does not warrant that AI-generated conversations, summaries, transcripts, classifications, or collected information will always be accurate, complete, current, appropriate, or suitable for a particular purpose. AI output is not a substitute for appropriate human judgment.
15. Not an Emergency Service
IronBolt is not an emergency response service. It is not a substitute for 911 or another emergency service and must not be relied upon to summon emergency assistance. Clients are responsible for appropriate emergency-escalation procedures.
16. No Professional Advice
IronBolt does not provide legal, medical, financial, accounting, tax, regulatory, or other licensed professional advice through the website or AI services.
17. No Guaranteed Results
IronBolt does not guarantee leads, calls, appointments, bookings, jobs, sales, revenue, profit, conversion rates, customer retention, campaign response, return on investment, recovered calls, or any other business outcome.
18. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the website and services are provided “as is” and “as available.”
IronBolt disclaims warranties not expressly stated in a signed agreement, including implied warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, and uninterrupted or error-free operation.
19. Limitation of Liability
To the fullest extent permitted by applicable law, IronBolt AI LLC and its owners, members, managers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
This includes, to the fullest extent permitted by law, lost profits, lost revenue, lost business, lost sales, lost leads, lost appointments, lost customers, lost opportunities, lost goodwill, reputational harm, business interruption, and loss or corruption of data.
For a paid service, IronBolt's total aggregate liability arising out of or relating to the applicable service relationship will not exceed the total fees actually paid to IronBolt for that service relationship.
If the event occurs before three full months of service have elapsed, the cap will be the fees actually paid to IronBolt from the beginning of service through the event giving rise to the claim.
Nothing in these Terms limits liability where applicable law expressly prohibits limitation. The signed Client Service Agreement controls if it contains a different applicable provision.
20. Paid Services and Order of Precedence
Paid services are governed primarily by the applicable signed Client Service Agreement and Order Form. The commercial information in these Terms is provided for transparency and should match the applicable signed agreement.
21. Client Responsibilities
Clients are responsible for accurate business information, scripts, prompts, pricing, offers, workflows, contact lists, communications, consent, customer data, campaign instructions, emergency escalation procedures, appropriate human review, lawful deployment of the service, and legal requirements applicable to their industries and communications.
Clients must not instruct IronBolt to engage in unlawful activity.
22. Indemnification
To the fullest extent permitted by applicable law, clients agree to defend, indemnify, and hold harmless IronBolt AI LLC and its owners, members, managers, employees, contractors, affiliates, licensors, and service providers from third-party claims, losses, damages, penalties, fines, costs, and reasonable attorneys' fees arising out of or relating to client-supplied data, unlawful customer or prospect lists, lack of required consent, client-directed calling or messaging, client marketing or telemarketing, client scripts, offers, prices, or claims, failure to honor applicable opt-outs, client misuse, unlawful instructions, infringement of third-party rights, or client violation of applicable law or agreement.
The signed Client Service Agreement contains the controlling indemnification terms for paid clients.
23. Paid Services, Renewal, and Cancellation
Commercial terms for paid services are customized and are stated in the applicable Client Service Agreement, Order Form, proposal, or other written agreement.
Any setup, onboarding, recurring, or other fees applicable to a client will be stated in the applicable Client Service Agreement, Order Form, proposal, or other written agreement.
Amounts already billed under a client's applicable written agreement are nonrefundable except where required by applicable law or IronBolt agrees otherwise in writing.
Billing occurs monthly unless the applicable written agreement states otherwise.
The service continues month-to-month until canceled.
Cancellation may be requested by calling 929-381-9649 or by written email confirmation to support@ironboltai.com.
If a valid cancellation request is received before the next billing date, cancellation becomes effective at the end of the then-current billing period and the client will not be billed for the following monthly period.
Cancellation does not affect amounts already billed for the then-current billing period, and IronBolt does not prorate or credit fees for a partial billing period.
24. Billing Changes, Late Payment, and Taxes
IronBolt may change recurring fees or other commercial terms for future billing periods by providing at least 30 days' advance written notice.
Any change applies prospectively beginning on a future billing date stated in the notice. A client that does not wish to continue under the revised commercial terms may cancel before the change takes effect.
Overdue amounts may accrue interest at the maximum rate permitted by applicable law. Where permitted by law, clients may also be responsible for reasonable collection costs incurred to recover valid unpaid balances.
IronBolt may suspend services for nonpayment or repeated payment failure. Clients are responsible for applicable taxes other than taxes imposed directly on IronBolt's net income.
25. Billing Disputes and Chargebacks
Billing questions should be raised promptly by calling 929-381-9649 or emailing support@ironboltai.com. IronBolt will review legitimate billing disputes in good faith.
Using a chargeback solely to avoid a valid contractual payment obligation may constitute a material breach. Nothing in this provision limits nonwaivable rights under applicable law or payment-network rules.
26. Suspension and Restriction of Service
IronBolt may suspend, restrict, or limit services where reasonably necessary because of nonpayment, payment failure, fraud, abuse, unauthorized access, security threats, unlawful activity, carrier restrictions, abnormal usage, regulatory concerns, provider requirements, contractual breach, or material legal, operational, reputational, or infrastructure risk.
27. Ownership of IronBolt Technology
IronBolt retains all rights in its technology, including software, source code, prompts, workflows, automation logic, templates, configurations, architecture, integrations, documentation, proprietary processes, and generalized improvements.
28. Client Data and Data Ownership
Clients retain ownership of their customer and business data.
IronBolt receives only the rights reasonably necessary to process Client Data to provide the service, follow client instructions, maintain and secure the service, troubleshoot, prevent fraud or abuse, comply with law, and enforce applicable agreements.
IronBolt does not sell or rent client customer databases and does not use client customer information to market IronBolt's own services.
29. Confidentiality
Confidentiality obligations for paid services are governed primarily by the Client Service Agreement. Client information and Client Data are treated as confidential subject to applicable contractual exceptions.
30. Independent Provider; No Agency
IronBolt is an independent service provider. Nothing creates a partnership, joint venture, employment relationship, franchise, fiduciary relationship, or general agency relationship.
The fact that an AI assistant may interact using a client's business name does not create a general legal agency relationship beyond the expressly configured service.
31. Force Majeure
Neither party is responsible for delay or failure caused by circumstances outside its reasonable control, including telecommunications outages, carrier failures, cloud failures, internet failures, natural disasters, governmental action, war, civil unrest, labor disruptions, widespread cyber incidents, or changes in law.
This does not excuse payment for services already provided or charges already properly incurred.
32. Changes to the Service
IronBolt may modify, improve, replace, reconfigure, or discontinue service features where reasonably necessary because of technological changes, provider changes, carrier requirements, security, fraud, legal developments, regulatory requirements, or infrastructure availability.
Material changes affecting an existing paid client's contractual rights are governed by the applicable signed agreement.
33. Suspension or Termination of Website Access; Survival
IronBolt may restrict or terminate website access where these Terms are violated.
Provisions concerning payment, confidentiality, intellectual property, data ownership, disclaimers, indemnification, limitation of liability, and dispute resolution survive where appropriate.
34. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles that would require application of another jurisdiction's laws.
Before filing a lawsuit, the parties should make a reasonable good-faith effort to resolve the dispute informally. IronBolt may be contacted at 929-381-9649 or support@ironboltai.com.
Any lawsuit arising from these Terms or the website must be brought in a state or federal court located within the State of New York that has proper subject-matter and personal jurisdiction, except where applicable law requires otherwise.
These Terms do not require mandatory arbitration and do not contain a class-action waiver or jury-trial waiver.
For paid services, the dispute provisions of the signed Client Service Agreement control where different.
35. General
Severability
If a provision is unenforceable, it will be limited or modified to the minimum extent legally necessary, and the remaining provisions will remain in effect.
Waiver
Failure to enforce a provision does not waive the right to enforce it later.
Assignment
You may not assign these Terms without IronBolt's prior written consent. IronBolt may assign them in connection with a merger, acquisition, financing, restructuring, or transfer of the applicable business.
Entire Agreement
These Terms, together with our Privacy Policy and Legal Notices, govern use of the public website. For paid services, the signed Client Service Agreement and applicable Order Form control.
36. SMS Messaging Program
IronBolt sends SMS notifications to clients and to the client personnel a client designates. Consent to receive these messages is given in the applicable Client Service Agreement, and the mobile numbers that receive them are designated by the client during setup.
Message frequency varies and depends on the client's inbound call volume and account activity.
Message and data rates may apply. Recipients may reply STOP at any time to stop messages and HELP for assistance. A recipient who replies STOP will not receive further notifications at that number unless the client re-enrolls it.
Carriers are not liable for delayed or undelivered messages.
Mobile numbers used for these notifications are not shared with third parties or affiliates for marketing or promotional purposes.
